Objective

The students have deepened their know-how in corporate law, particularly in power and responsibility issues related to limited companies. They are familiar with the change of company form, termination of a company, merge, division, the central contents and norms of shareholder contracts. They are able to evaluate the contents and validity of various contracts. They recognize a risky or otherwise demanding contract situation and are able to suggest feasible solutions to control contract risks and to eliminate problems expected to arise during the implementation of the contract.

Corporate law, contract as a legal act, breach of contract, interpretation and completion of contract, invalidity of contract, contract risks, standard contract, shareholder contract

Class participation, individual/group reporting skills, individual/group presentation skills, teamwork skills. Mastery of subject + analysis and problem-solving skills in written exam/exercises/reports
